The Sola Company, Essential Foods LLC, and their subsidiaries and affiliates (collectively “Company,” “we,” “us,” or “our”) value your privacy and are committed to handling personal information in accordance with applicable privacy laws, including, where applicable, Canadian privacy laws. This Privacy Policy outlines how Company collects, uses, and shares your personal information and the choices and rights that you may have in relation to information. Thank you for taking the time to read and understand our data and privacy related practices.

If you do not agree with or you are not comfortable with any part of this Privacy Policy, or our Terms of Service,  please immediately discontinue access or use of our Services.

1. APPLICABILITY AND SCOPE

This Privacy Policy applies whenever your personal information is processed as part of our “Services”, which means when you visit our website located at www.thesolacompany.com, www.essentialfoodco.com, and all corresponding webpages, software applications, websites or mobile applications that link to this Policy (collectively “Site”), or when you communicate with us via email, texts, a webform or phone call, or in any other interactions with us on and offline, such as at events and pop-ups (collectively, the “Services”).

This Privacy Policy applies solely to information collected by Company and does not apply to information collected by any third party, including through any application or content (including advertising) that may link to or be accessible from the Site. Third parties you interact with may have their own privacy policies, and Company is not responsible for how those third parties use the information they collect. We encourage you to learn about the privacy practices of those third parties.

2. CHANGES TO THIS POLICY

We may change this Privacy Policy from time to time and we will notify you by revising the “Last Updated” date at the top of this Privacy Policy. If we change this Privacy Policy in a way that we believe materially affects how we process your personal information, we will provide you with advance notice such as via email or by posting a notice on our website. Unless otherwise required by laws in your residence, your continued access or use of our Services after receiving the notice of changes constitutes your acknowledgment that you accept the updated Privacy Policy.

3. INFORMATION WE COLLECT

Personal information is generally any information that relates to you, identifies you personally, or could be used to identify you. The types of personal information that we may collect about you, and the way we collect such information is described below. Depending on how you interact with us, we may collect your contact details, purchase and transaction information, account information, communications with us, device and browser information, approximate location inferred from IP address, marketing preferences, and information about how you use our Site.

Information You Provide Us. For us to provide our Services, you will need to provide us with certain information.

Customer Support. If you contact our support team through phone or online chat, we may collect the personal information that you choose to share with us.

Product News and Promotions. You may choose to provide us your email address if you wish to receive information about our offers and Services.

Web Forms. When you complete forms on our website, you may provide us with certain personal information such as your name, email, and phone number. If you provide contact information, we may contact you to clarify your comment or question, or to learn about your level of interest in, or satisfaction with our Services. 

Text Messaging Program. We collect various information from you when you sign up for and use our text messaging services (“Messaging Service”) such as your contact information and phone number.

Information We Automatically Collect.  

Usage Data. When you browse our Services, we automatically collect log data such as your web request, Internet Protocol (“IP”) address, browser type, domain names, referring and exit pages and URLs, pages viewed and the order of these page views, the date and time you access our servers, length of visit, click-stream data, locale preferences, system configuration data and other diagnostic data. For example, we may keep a record of the products considered by you. For more information, see the Cookies and Other Tracking Technology section below.

Device Information. When you use your desktop or mobile devices to access our Services, we may be able to identify and collect your device’s unique device identifier, MAC address, operating system, and your mobile device’s advertising ID.

Location Information. When you use our Services, we may infer the generic physical location and geographic regions of your device from your Wi-Fi, Bluetooth and other device settings. For example, your IP address may indicate your general geographic region. You may choose not to share your location details with us by adjusting your desktop device’s location services settings. For instructions on changing the relevant settings, please contact your service provider or device manufacturer.

Information from Third Parties.

We may receive personal information about you from third parties, such as Shopify, payment processors, marketing partners, analytics providers, social media platforms, event partners, and publicly available sources, where permitted by law. Where required by applicable law, we will obtain consent before collecting personal information from third parties or will rely on another lawful basis permitted by law.

4. HOW WE USE YOUR INFORMATION

We use your information for business and commercial purposes, including to provide the products and services you request, to perform customer service functions, for security and fraud prevention, for marketing and promotional purposes, and to perform analytics. We collect, use, and disclose personal information only for purposes that a reasonable person would consider appropriate in the circumstances and, where required, with your consent.

We may use the information we collect about you in a variety of ways, including to:

(a) To Provide Our Services. We will use your personal information to provide information or perform Services that you request, including managing your request to register an account, and operating our Messaging Service.  We will not be able to provide you with our Services without such information.

(b) To Communicate With You. We process certain information in order to communicate with you in relation to your accounts, our services, our marketing, and your requests, including to:

• communicate with you about orders, purchases, services, and account;

• respond to your customer service inquiries and requests for information;

• send you personalized promotions, content, and special offers;

• post your comments or statements on our Site;

• communicate with you about our brands, products, events, or other promotional purposes;

• implement your communications preferences, such as sharing information with Company business partners so that they may email you about their promotions, products and initiatives

We will send you marketing emails or text messages only in accordance with applicable law and your communication preferences, and you may withdraw your consent at any time, subject to legal or contractual restrictions and reasonable notice.

(c) To Personalize Your Experience. We may process certain information to personalize your experience. Such personalization allows you to more easily interact with our Services across platforms and devices.

(d) For Research, Development, and Improvement of Our Services. We want to ensure that our Site and Services are continually improving so that we meet your needs and expectations. To do so, we may process certain personal information, including to maintain, improve, and analyze our Site and the Services we offer, and to detect, prevent, or investigate suspicious activity or fraud.

(e) To Enforce Compliance with Our Terms, Agreements, and Policies. To maintain a safe, secure, and trusted environment for you when you use our Services, we use your personal information to ensure our terms, policies, and agreements with you and any third parties are enforced.

(f) To Detect and Prevent Fraud and Security Risks. We may process your personal information to help monitor, prevent, and detect fraud and abusive use of our Service, monitor and verify your identity so that unauthorized users do not gain access to your information, enhance system security, and combat spam, malware, malicious activities or other security risks that might result in financial loss.

(g) To Maintain Legal and Regulatory Compliance. Our Services are subject to certain laws and regulations which may require us to process your personal information. We may be required to process certain personal information under certain laws and regulations, such as tax laws, as well as to maintain appropriate records for internal administrative purposes; and comply with applicable legal and regulatory obligations, and respond to lawful governmental requests, as needed.

(h) To Facilitate Corporate Acquisitions, Mergers, and Transactions. We may need to process information regarding your account and your use of our Services in the context of corporate acquisitions, mergers, or other corporate transactions.

(i) With Your Consent. We may process your information for any other business or commercial purposes at your direction or with your consent.

5. HOW WE SHARE YOUR INFORMATION

We do not disclose personal information to third parties except as described in this Privacy Policy, for the purposes for which the information was collected, as otherwise authorized by law, or with your consent. This includes sharing among Company- affiliated entities for internal business purposes, sharing with service providers to help perform business functions at our direction, sharing with your consent, sharing for marketing purposes, sharing as part of corporate transactions, and sharing to protect lawful interests.

We may share or disclose your personal information in the following circumstances:

(a) When We Work With Our Service Providers. We may disclose personal information to vendors and service providers that perform services for us, such as e-commerce platform services, payment processing, fulfillment, shipping, customer support, website hosting, cloud storage, analytics, and marketing support. These providers are authorized to use personal information only as necessary to provide services to us or as otherwise permitted by applicable law and subject to contractual obligations regarding confidentiality, security, and appropriate handling of personal information. (b) When Sharing Helps Us Protect Safety and Lawful Interests. We may access, preserve, and disclose information about you if we believe doing so is required or appropriate to (i) comply with law enforcement requests and legal processes, such as a court order or subpoena; (ii) comply with requests from auditors, examiners or other regulators; (iii) respond to your requests; or (iv) protect your, our, or others’ rights, property or safety.

(c) When We Work Together. We may share your personal information between and among other Company-affiliated organizations for purposes of management and analysis, decision making, and other business purposes. 

(d) When We Work with Marketing Partners. In certain circumstances, and subject to the applicable law, we may share your personal information with third-party advertisers and marketing partners for permitted marketing purposes.

(e) When We Work on Business Transaction or Other Asset Transfers. We may disclose and transfer information about you to buyers, advisors, potential transactional partners, or other third parties in connection with the advisors, potential transactional partners, or other third parties of a corporate transaction in which we are acquired by or merged with another company, or we sell, liquidate, or transfer all or a portion of our business or assets.

(f) When You Give Your Consent. We may share your personal information with other companies if you consent, give us permission, or direct us to do so.

(g)  When You Post on Our Site. If you post information on a blog or another part of our Site, the information that you post may be seen by other visitors to our Site, including your user name.

(h)  When You Create an Account. We may share your personal information if you choose to link your account to a currently existing account with a third party, such as Shop.

6. INTERNATIONAL AND CROSS-BORDER PROCESSING 

We and our service providers may process, store, or access personal information in jurisdictions outside the province or country where you reside, including the United States and other jurisdictions where we or our service providers operate.

When personal information is transferred outside Canada or outside Québec, it may be accessible to courts, law enforcement, national security authorities, or other governmental authorities in those jurisdictions in accordance with local law.

We use contractual and other reasonable safeguards designed to protect personal information in connection with cross-border transfers and to require our service providers to provide a level of protection appropriate to the sensitivity of the information.

7. HOW WE MAY ALLOW OTHERS TO COLLECT YOUR INFORMATION

When you use our Site, we may allow third parties to collect device and usage information and location information across your different devices through cookies and other tracking technology. These third parties collect this information for the following purposes and for other purposes consistent with their own privacy policies:

To Display Ads for Products or Services.  We may allow some advertising companies to collect this information so as to display ads that are more relevant to you across your different devices and on our own and others’ websites and mobile apps. Please see the Your Choices section of this Statement for more information about opting out of targeted advertising.

To Understand the Use of Our Services. We allow certain service providers to collect this information so that we can better understand how our Site is used and to assist us in improving the content and operation of our online properties. These service providers collect aggregate statistical usage data that is not matched or linked to any individual user.

8. COOKIES AND OTHER TRACKING TECHNOLOGY

We and third parties on our behalf may use cookies or similar tracking technologies (collectively, “Tracking Technologies”) to collect information automatically as you interact with our Services. These Tracking Technologies help us customize your experience, optimize our user experience, or provide you with advertisements of interest to you. Where required by applicable law, we will obtain your consent before using non-essential cookies and similar technologies, including analytics, advertising, and social media pixels. You may manage your cookie preferences through our cookie settings tool, where available, or through your browser settings.

Cookies are small web files that a site or its provider transfers to your device’s hard drive through your web browser that enables the Site’s or provider’s system to recognize your browser and remember certain information. Cookies set by us are called “first party cookies”. Cookies set by parties other than Company are called “third party cookies”. The parties that set third party cookies can recognize your web browser both when it visits the our website and when it visits certain other websites where the third party’s cookies are also present. The length of time a cookie will stay on your browsing device depends on whether it is a “persistent” or “session” cookie. Session cookies will only stay on your device until you stop browsing. Persistent cookies stay on your browsing device until they expire or are deleted.

If we use technologies that allow us to identify, locate, or profile you, we will inform you of those functions and, where required by applicable law, provide you with a means to activate them. Where required by applicable law, such functions will be disabled by default until you choose to enable them.

We may also use Web Beacons, JavaScript, and Entity Tags to optimize your user experience. 

Web beacons are small, transparent images that are embedded in web pages, applications, and emails that are sometimes called “clear gifs,” “single pixel gifs”, “page tags” or “web bugs.” We may use web beacons track the web pages you visit, to test the effectiveness of our marketing, and to find out if an email has been opened and acted on.

JavaScript are code snippets embedded in various parts of websites and applications that facilitate a variety of operations including accelerating the refresh speed of certain functionality or monitoring usage of various online components.

Entity Tags are HTTP code mechanisms that allow portions of the Site to be stored or “cached” within your browser and validates these caches when the website is opened, accelerating website performance since the web server does not need to send a full response if the content has not changed.

We may use Tracking Technologies for the following purposes:

Functionality. Some of these technologies are required to allow you to access and use our Site, and without them our Site would not work properly.

Performance Monitoring. Some of these technologies help us analyze and estimate traffic and assess the volume of use of services and functionality on our Site. When these technologies are used for performance monitoring, no directly identifiable information (e.g., your name, email address or phone number) is collected.

User Convenience. Some of these technologies enhance the ease of use of our Site by accelerating load and refresh times and remembering information that you have provided on prior visits to our Site or when you last used our Site.

Marketing and Behavioral Advertising. 

We may use pixels and similar technologies from advertising and social media partners, including Meta, to measure advertising performance, understand how users interact with our Site, and, where permitted, personalize or retarget ads. These technologies may collect identifiers, browsing activity, device information, approximate location, and purchase-related events. Where required by law, we will use these technologies only after obtaining your consent.

We may use Shopify Audiences to help us show ads on other websites with our advertising partners to buyers who made purchases with other Shopify merchants and who may also be interested in what we have to offer. We also share information about your use of the Site, your purchases, and the email address associated with your purchases with Shopify Audiences, through which other Shopify merchants may make offers you may be interested in.

We use the following cookies to optimize your experience on our Site and to provide our Services.

9. YOUR CHOICES

You have control over your promotional communications preferences, cookie settings, interest-based advertising preferences, and more. 

Promotional Communication Choices.  You can opt out of receiving promotional emails and mailings by informing us of your preference at the time you sign up for a Company account, or by following the “unsubscribe” instructions in the promotional emails we send you. Please note that if you opt out of receiving promotional communications from us, we may still send you transactional communications, including emails about your Company accounts or purchases. Please note that “unsubscribe” requests may not take effect immediately and may take a reasonable amount of time to receive, process and apply, and please note that any information provided to third parties prior to your election to unsubscribe will not be retrieved or rescinded, unless required by applicable law. You may elect to receive text messages from us through our Messaging Service. We may use third party service provider(s) to provide our Messaging Service to you. You may opt-out of receiving commercial text messages at any time via the Messaging Service by responding to any of our text messages with the following reply: STOP.

Access, Correction, and Withdrawal of Consent.  Subject to applicable law, you may request access to personal information we hold about you and request correction of inaccurate or incomplete personal information. You may also withdraw your consent to our collection, use, or disclosure of your personal information, subject to legal or contractual restrictions and reasonable notice. To make such a request, please contact us using the information in the Contact Us section below. We may need to verify your identity before processing your request.

Cookies and Other Tracking Technologies. You may be able to reject cookies and other tracking technologies by adjusting the appropriate settings of you your browser. If you do not want us to deploy cookies in your browser, you may exercise your preference by modifying your web browser setting to either refuse some or all cookies, or notify you and ask for your permission when a website tries to set a cookie. If you want to learn the correct way to modify your browser settings, please use the “Help,” “Tools” or “Edit” menu in your browser or review the instructions provided by the following browsers: Google Chrome, Internet Explorer, Mozilla Firefox, Safari (Desktop), Android Browser, and Opera.

If you do not want us to use information that we collect or that you provide to us to deliver advertisements according to our advertisers’ target-audience preferences, you can opt-out of interest-based targeting provided by participating ad servers through the Digital Advertising Alliance (optout.aboutads.info) or the Network Advertising Initiative (optout.networkadvertising.org). In addition, on your iPhone, iPad or Android mobile device, you can change your device settings to control whether you see online interest-based ads. 

Analytics. We may use third-party service providers to monitor and analyze the use of our Site. Presently, we use Google Analytics. Google Analytics is a web analytics service offered by Google LLC (“Google”) that tracks and reports Site traffic. Google Analytics Opt-out Browser Add-on provides visitors with the ability to prevent their data from being collected and used by Google Analytics, available at: tools.google.com/dlpage/gaoptout.

If you disable or remove cookies, some parts of the Services may not function properly. Information may still be collected and used for other purposes, such as research, online services analytics or internal operations, and to remember your opt-out preferences. 

Meta Pixel.  We specifically incorporate “pixels” provided by Meta Platforms, Inc. on some Company Sites. This enables us to track user behavior after a user clicks on a Facebook ad and is redirected to our Services. By doing so, we can assess the effectiveness of Meta ads for statistical and market research purposes and sometimes retarget certain users. Meta stores and processes this data. It is important to be aware that Meta may associate this information with any of your Meta accounts and utilize it for its own promotional activities. 10. DATA SECURITY

We maintain administrative, technical, and physical safeguards appropriate to the sensitivity of the personal information in our custody or control. All personal information you provide to us is stored on our secure servers behind firewalls. In order to prevent unauthorized access or disclosure, we have put in place multi-layer physical, electronic, and managerial procedures to safeguard and secure the information we collect online.

The safety and security of your information also depends on you. Where we have given you (or where you have chosen) a password for access to certain parts of our Site, you are responsible for keeping this password confidential. You should not share your password with anyone. We urge you to be careful about giving out information in public areas of the Site like message boards. The information you share in public areas may be viewed by any user of the Site.

Unfortunately, the transmission of information via the internet is not completely secure. Although we do our best to protect your personal information, we cannot guarantee the security of your personal information transmitted to our Site. In particular, email sent to us may not be secure, and you should therefore take special care in deciding what information you send to us via email. Any transmission of personal information is at your own risk. We are not responsible for circumvention of any privacy settings or security measures contained on the Site.

11. RETENTION 

We retain personal information only for as long as reasonably necessary to fulfill the purposes for which it was collected, to provide our Services, to comply with legal obligations, to resolve disputes, and to enforce our agreements. We may retain certain information for longer periods where required or permitted by law.

When personal information is no longer required, we will securely delete, destroy, or anonymize it in accordance with our retention practices and applicable law.

12. CHILDREN’S INFORMATION 

Our Services are not directed to children, and we do not knowingly collect personal information from children without appropriate consent where required by applicable law. If you believe a child has provided us with personal information inappropriately, please contact us so we can investigate and take appropriate steps.

13. NOTICE TO U.S. RESIDENTS

This section applies only to residents of U.S. states with comprehensive consumer data protection laws, to provide the additional details regarding the information defined as “personal information” or “personal data” under applicable law further referred to as “Personal Information.” This Notice describes the categories of Personal Information that Company has collected, the categories of Personal Information Company has disclosed, the categories of Personal Information Company has sold (if any), and a description of the Consumer’s rights.

Notice About “Do Not Track Settings”.  SOLA does not currently take action in response to a “do not track” browser setting. SOLA will revisit this policy accordingly if an industry standard regarding such settings emerges.

Global Privacy Controls. Global Privacy Control signals (GPCs) are a browser extension that can be used to effectuate your privacy preferences. For more information 

Consumer Rights.  You may have the following consumer rights. Please note that these rights are not absolute and in certain cases are subject to conditions or limitations as specified under the law:

Right to Access. You have the right to request a copy of the personal information that we have collected about you including the:

• categories of Personal Information we have collected about you;

• categories of sources from which we collected your Personal Information;

• business or commercial purpose for the collecting and disclosing your Personal Information;

• categories of third parties with whom we shared your Personal Information; 

• specific pieces of Personal Information we collected about you.

Portability. You have the right to obtain a list of categories and a copy of the Personal Information, in a portable and (if technically feasible) readily usable format.

Deletion. You have the right to request the deletion of your Personal Information we have collected from you. This right may be subject to certain conditions and limitations under the law.

Right to be Free from Discrimination. You may exercise all of the above rights at all times and we will not unlawfully discriminate against you for exercising your rights under the California law.

Right to Opt Out. You may have the right to opt-out of:

• the sale of your personal information to third parties. Company does not sell your personal information within the normal meaning of the word, but may sell your personal information under certain U.S. data protection laws;

• Targeted advertising (excluding Iowa); and

• Profiling.

Exercising Your Rights.  To exercise the access, data portability and deletion rights described above, please Message Us. You may also contact us as described in the “Contact Us” section below. Before fulfilling your request, as required by law, we may ask you to verify personal information we already have on file to confirm your identity. If we cannot verify your identity based on the information we have on file, we may request additional information from you, which we will only use to verify your identity, and for security or fraud-prevention purposes. California residents may visit the “Do Not Sell or Share My Personal Information” link for more information. 

Use of an Authorized Agent to Submit a Request. Only you or a person you formally authorize to act on your behalf, may make a verifiable consumer request related to your personal information as a California consumer. If you use an authorized agent to submit such a request, we will require written proof that the authorized agent has been authorized to act on your behalf or a copy of the power-of-attorney document granting that right.

California Shine the Light Law.  In addition, California Civil Code §1798.83 permits customers of Company who are California residents to request certain information regarding our disclosure of Personal Information to third parties for their direct marketing purposes. In your request, please specify that you want a “Company’s California Privacy Rights Notice.” Please allow 30 days for a response. Notice of Financial Incentive. We may offer you certain benefits in connection with the disclosure of personal information, such as the opportunity to be eligible for certain perks and benefits such as rewards, exclusive offers, and discounts. All benefits are free of charge.

When you participate in these perks and benefits, we will collect and keep the personal information you provide, or that you’ve previously provided. To enhance your experience with us, and to provide you with tailored benefits, we may also collect and use the following categories of personal information listed in connection with your accounts, including personal information we’ve previously collected about you: 

• Identifiers

• Online activity information

• Geolocation data

• Commercial information

• Inferences

We collect this information through your interactions with us and our partners, as further detailed in our Privacy Policy. We will also use this information to send you messages about benefits and rewards, and to send you tailored marketing messages from us and our partners. 

Incentives. The benefits to accountholders are reasonably related to our good-faith estimate of the value provided to us by their personal information. The value of personal information to us varies by individual and is related to the value of the rewards and discounts provided to accountholders, minus the costs of providing those benefits.

How to Opt-in or Withdraw from Participation. You may withdraw from participation from any rewards program incentive at any time by following the instructions provided upon enrollment.

14. NOTICE TO CANADIAN RESIDENTS

If you are located in Canada, this section applies to our handling of your personal information, together with the rest of this Privacy Policy.

Purposes and Consent. We collect, use, and disclose your personal information for the purposes described in this Privacy Policy. Where required by applicable law, we will obtain your consent. You may withdraw consent to certain processing activities at any time, subject to legal or contractual restrictions and reasonable notice.

Additional Information About Our Practices. On request, we will provide information about the personal information we hold about you, the categories of persons within our organization who have access to it, how long we retain it, and the contact information for the person responsible for privacy compliance, as required by applicable law.

Access and Correction. Subject to applicable law, you may request access to and correction of your personal information.

If you are not satisfied with our response, you may have the right to contact the Office of the Privacy Commissioner of Canada or, where applicable, a provincial privacy regulator, including the Commission d’accès à l’information du Québec.

Québec-Specific Information. If you are located in Québec, our privacy practices are intended to comply with the Act respecting the protection of personal information in the private sector.
